Acrodocz may revise these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. By your continued use of the Website after publication of revised Terms of Use, you accept and agree to the terms and conditions in the revised Terms of Use. To access the Website or some of the products, services, information, features or resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. You agree that all information you provide through the Websites is governed by our Privacy Policy accessible on the Websites, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
The Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You must not use such marks.
If the Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party websites linked to this Website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.
Documents sent or uploaded through the Website must be in PDF format, with no password, and at least 200 DPI. Acrodocz’s deliverables are delivered in PDF format. To access and use such deliverables, you will need to have a PDF reader (e.g., Adobe Acrobat) installed on your computer or mobile device. We do not license or provide such third-party software to you. You warrant that you own all right, title, and interest, including all intellectual property rights, in and to the records and data that you provide to Acrodocz.
In consideration for Acrodocz’ s service or products, you shall pay Acrodocz the applicable fees for the services or products selected and agreed to by you during the ordering process (the “Fees”) within 7 days from the email received from Acrodocz that contains the invoice without offset or deduction. If you fail to make any payment when due, without limiting Acrodocz’s other rights and remedies:
Acrodocz may charge interest on the past due amount at the rate of 1.5% per month or the maximum amount allowable by law, whichever is less. You shall reimburse Acrodocz for all fees and costs incurred by Acrodocz in collecting any late payments or interest, including attorneys’ fees, court costs, and collection agency fees.
If you purchase an enterprise subscription from Acrodocz, you agree to a 12-month commitment to our services and products. This plan is payable in twelve (12) equal monthly payments, which must be paid in advance each month. Payments for the subscription will be automatically charged to your chosen payment method on the first day of each month. It is your responsibility to ensure that your payment information is accurate and up to date to avoid any interruptions in service. In the event that you fail to make a monthly installment payment, the entire remaining balance of the subscription shall become immediately due and payable and you will then be responsible for the remaining balance for the subscription up to twelve (12) months.
All Fees and other amounts payable by Customer under this Agreement are exclusive of taxes and similar assessments. Customer is responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental or regulatory authority on any amounts payable by customer hereunder, other than any taxes imposed on Acrodocz’ s income.
Payment processing, including credit and debit card payment processing, is performed by third party service providers and we do not process or store your credit or debit card information in connection with transactions occurring through the Website. We do not take responsibility for the security of transactions undertaken or processed by third parties.
THE SERVICES ARE PROVIDED “AS IS” AND ACRODOCZ SPECIFICALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ACRODOCZ SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. ACRODOCZ MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET YOUR OR ANY OTHER PERSON’S OR ENTITY’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OF YOUR OR ANY THIRD PARTY’S SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. YOU ACKNOWLEDGE THAT THE SERVICES USE ARTIFICIAL INTELLIGENCE AND NATURAL LANGUAGE PROCESSING TECHNOLOGIES TO PROCESS AND SUMMARIZE CUSTOMER DATA. ACRODOCZ MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE RESULTS OF THE SERVICES OR PRODUCTS WILL BE ACCURATE, UNINTERRUPTED, ERROR-FREE, OR MEET CUSTOMER’S REQUIREMENTS. YOU ARE FULLY RESPONSIBLE TO REVIEW AND VALIDATE THE SERVICE RESULTS TO CONFIRM ACCURACY. IN NO EVENT WILL ACRODOCZ BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY CUSTOMER ACTIONS OR OMISSIONS IN RELIANCE ON THE RESULTS OF THE SERVICES.
WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR PRODUCTS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITES LINKED TO IT. WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE WEBSITE, OR FROM ANY INFORMATION CONTENT, MATERIALS, PRODUCTS OR OTHER SERVICES INCLUDED ON OR OTHERISE MADE AVAILABLE TO YOU THROUGH THE WEBSITES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.
IN NO EVENT WILL ACRODOCZ BE LIABLE UNDER OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR PURCHASE OF ANY SERVICES OR PRODUCTS FROM ACRODOCZ UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR ANY: (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (b) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (c) LOSS OF GOODWILL OR REPUTATION; (d) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (e) COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER ACRODOCZ WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE. IN NO EVENT WILL ACRODOCZ’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY. INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE EXCEED THE TOTAL AMOUNTS PAID TO ACRODOCZ BY YOU IN THE THREE (3) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You hereby consent to receiving electronic communications from Acrodocz. These electronic communications may include notices about applicable fees and charges, transactional information, invoices, and other information concerning or related to Acrodocz’s services and products. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing. The invalidity, illegality, or unenforceability of any provision herein does not affect any other provision herein or the validity, legality, or enforceability of such provision in any other jurisdiction. Any failure to act by us with respect to a breach of this Agreement by you or others does not constitute a waiver and will not limit our rights with respect to such breach or any subsequent breaches. This Agreement is personal to you and may not be assigned or transferred for any reason whatsoever without our prior written consent and any action or conduct in violation of the foregoing will be void and without effect. We expressly reserve the right to assign this Agreement and to delegate any of our obligations hereunder.
These Terms of Conditions of Use are governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the State of New York. Except as otherwise set forth herein, any legal suit, action, or proceeding arising out of or related to this agreement or the rights granted hereunder shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York located in the County of New York, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
